Wynn Alleges Corruption Findings, Buys Back Okada's Shares at Discount

The Wynn-Okada legal battle exploded over the weekend, and the plot twists just keep coming. Add a few car chases, and this could turn out to be the best high-stakes thriller movie of the year. The drama opened a few weeks ago when Kazuo Okada, Wynn Resorts' largest shareholder and a member of the board of trustees, sued the company to gain access to financial records about a $135 million donation to the University of Macau, which Okada implied may have been more than just a commitment to education. The lawsuit caught the attention of the U.S. Securities and Exchange Commission, prompting an informal investigation into Wynn Resorts' business practices in Macau.

Over the weekend, Wynn flipped the script on Okada, charging that he and his company, Universal Entertainment Ltd., were the ones involved in bribery and corruption and that Okada's accusations against the Wynn were "a desperate attempt to divert attention from his misdeeds."

Wynn will forcibly buy back the 24 million shares held by the U.S. subsidiary of Universal Entertainment at a steep discount since a year-long internal investigation into Okada determined that he was an "unsuitable" investor. Wynn said it will pay $1.9 billion over 10 years, a 30 percent discount over his stake's current market value of $2.77 billion. On Tuesday, Wynn Resorts fired another round at Okada, suing him for misappropriating company trade secrets for use at the $2 billion resort Universal Entertainment is developing in the Philippines.

Wynn Resorts said its decision to reclaim Okada's shares is based on the results of a year-long investigation conducted by former FBI Director Louis Freeh on the company's behalf. The report accuses Okada of paying over $100,000, mostly in travel accommodations, to Philippine gaming regulators. It also suggests there may be other other instances of impropriety with South Korean regulators.

"Mr. Okada and his associates and companies appear to have engaged in a longstanding practice of making payments and gifts to his two chief gaming regulators at the Philippines Amusement and Gaming Corp., who directly oversee and regulate Mr. Okada's Provisional Licensing Agreement to operate in that country," Wynn Resorts said in a statement. "As directors of a gaming company privileged to hold licenses, we have a duty to uphold the highest ethical standards and comply with the laws and the terms of the licenses upon which our business depends." The statement also said that Okada is the only member of the board of directors who has refused to sign the company's Code of Conduct.

Universal Entertainment responded by saying it will fight the forced redemption of its shares in court. "The decision by the Wynn board, which followed a rushed investigation that lacks absolute findings, to redeem Universal Entertainment's nearly 20 percent holdings in Wynn Resorts based on its project is outrageous," Okada said.

Wynn Resorts also closed the Okada Japanese restaurant in the Wynn Las Vegas and removed all references to it from the hotel and the company website.

Hooters' Creditors Acquire Casino As Only Auction Bidder

Sorry, folks. Your chance to be the proud new owner of the Hooters hotel-casino in Las Vegas has come and gone. The casino was supposed to go up for auction last week, but the property's lead creditor was the only party to submit a qualified bid. Canpartners Realty Holding Company IV won the right on Friday to take ownership of the property and its cash assets for a $60 million credit bid.

U.S. Bankruptcy Judge Bruce Markell approved Canpartners' bid and ruled that they were also entitled to seize Hooters' cash, valued at around $10 million. Hooters' investors contested Canpartners right since they claim that Canpartners acquired Hooters' $181 million in debt for $43 million, less than the value of the hotel. The judge, however, sided with Canpartners, citing differences between bankruptcy sale rules and foreclosures.

Canpartners, a division of Los Angeles-based investment company Canyon Capital Realty Advisors, plans to find a licensed gaming operator to run the property. The sale is expected to close by the end of March.

MGM to Open Bellagio in Shanghai

MGM Resorts International announced on Tuesday that it signed a deal to develop a nongaming version of the Bellagio hotel in Shanghai, China. The company has been expanding its international hotel operations for several years, even changing its name to promote a reputation as a luxury non-gaming resort operator.

One of MGM's joint venture companies, Diaoyutai MGM Hospitality Ltd., will partner with the Suning Real Estate Group to build the Bellagio Shanghai Bund hotel along Shanghai's Huangpu River. MGM promises the new Bellagio will have all the high-end retail and entertainment excitement of the Las Vegas version even though there won't be a gaming floor. Construction is expected to be complemented by 2015.

"This strategic partnership with Suning further extends our reach into China, one of the fastest-growing hospitality markets in the world," said MGM CEO Jim Murren. "Along with our Diaoyutai JV partners, we believe relationships like this with Suning create new opportunities to expand our brand reach into this strategically vital marketplace."

Diaoyutai MGM, a joint venture with Diaoyutai State Guest House, already runs the MGM Grand Sanya resort on China's Hainan Island and is developing two hotel sin Beijing. The MGM Grand Tianjin and Skylofts of MGM Grand Tianjin are under construction and will open in 2014. The MGM Grand Chengdu and Skylofts are expected to open the same year.

An article published in Physical Review and conducted by researchers at the universities of Granada and Barcelona might lead to a revolutionary change in water desalination and filtration methods.

Researchers at the universities of Granada and Barcelona have described for the first time the diffusion of liquid water through nanochannels in molecular terms; nanochannels are extremely tiny channels with a diameter of 1-100 nanometers that scientists use to study the behavior of molecules (nm. a unit of length in the metric system equal to one billionth of a meter that is used in the field of nanotechnology).

This study might have an important impact on water desalinization and filtration methods. Two articles published in Science state that the introduction of graphene membranes and carbon nanolayers will revolutionize water desalinization and filtration processes, as water diffuses rapidly through these materials when their pores are 1nm in diameter.

Liquid water exhibits a range of unusual properties that other chemical compounds do not have: up to 65 abnormalities. Some of these abnormalities have been known for 300 years, as the fact that water expands below 4?C.

Many of the abnormalities found in water have a dynamic nature -e.g. water molecules move faster as density increases-, as a result of the properties of the hydrogen bond networks that form between water molecules; hydrogen bonds lead to the formation of tetrahedral structures wherein a central atom is located at the center with four molecules located at the corners. However, this geometrical structure changes with pressure and temperature and, until now, changes in the molecular structure and properties of liquid water had not been described.

A Mystery to Solve

Particularly confusing are the results on the diffusion of water confined between two hydrophobic plates. Neither experiments nor computer-based models have clarified whether confinement increases or reduces the mobility of water molecules. However, it seems that the mobility of water molecules relies on ducts having a diameter above or below 1nm.

In a study published in the prestigious journal Physical Review, professors Francisco de los Santos Fern?ndez (University of Granada) and Giancarlo Franzese (University of Barcelona) described the behavior of water confined between two hydrophobic plates. In their study, Franzese and Fernandez used models to demonstrate that the diffusion of nanoconfined water is unusually fast, as a result of the competition between the formation and breaking of hydrogen bonds, and the free volume available for cooperative molecule rearrangement.

In nanochannels above 1 nm in diameter, macroscopic diffusion of water only occurs if there is a cooperative rearrangement of molecules, which leads to HB breaking within a cooperative region of 1nm in size. On the other hand, diffusion increases in nanochannels below 1 nm, as fewer HBs need to be broken. Thus, this study proves that the interplay between hydrogen bond breaking and cooperative rearranging within regions of 1-nm determine the macroscopic properties of water.

Apple's Share-Price Target Boosted by Goldman (Update 3)

NEW YORK (TheStreet) -- It's earnings season, and Goldman Sachs is raising the stakes on Apple(AAPL), lifting its price target on the tech giant to $550. Goldman's new price target coincided with Apple hitting a new 52-week high on Monday. Shares of the iPhone maker, which will report earnings on Jan. 24, spiked briefly to $427.38 shortly after the market opened, surpassing its previous 52-week high of $426.70. Goldman Sachs analyst Bill Shope raised his price target to $550 from $520 and reiterated his Conviction List buy rating based on expectations for strong iPhone sales in the December quarter. Shope raised his iPhone sales estimate to 31.0 million from 30.2 million, an annual growth rate of 91%. Goldman's target sits above the 12-month median price target on Apple shares of $510, according to Yahoo! Finance. The top price target on Apple is $700, from Hudson Square's Daniel Ernst. Piper Jaffray's Gene Munster and Ticonderoga Securities' Brian White are also exceptionally high on Apple, with $607 and $666 price targets, respectively. "For the December quarter, we now forecast overall revenues of $38.18 billion and EPS of $9.94, versus consensus of $38.28 billion and $9.87 and our prior estimates of $37.06 billion and $9.44," Shope wrote in his note. Shope expects Apple's Mac line to continue to defy the weakness seen in the PC market, led by the MacBook Air, which he believes will continue to drive "hefty notebook share gains for the company in coming quarters." Apple shares were among the best gainers in 2011, gaining almost 26% during the year. The stock is up 4.6% so far in 2012, changing hands at $423.50, up $1.10. Of the 54 analysts covering Apple. 49 rate the stock at either strong buy (24) or buy (25) with the remainder split between hold (3), undperform (1) and sell (1), according to Thomson Reuters. Mundane dark matter may lurk in starry clusters

DARK matter - the mysterious substance thought to make up about 80 per cent of the universe's matter - could be more mundane than thought. Inside balls of stars known as globular clusters, at least.

Unless we have misunderstood gravity, dark matter must be there - holding rotating galaxies together. But we don't know what it is. Initially, it was thought to be planets and stars too dim to be seen directly. Such objects would reveal themselves when they pass in front of bright stars, distorting the image with their gravity, but the objects turned up by such "microlensing" searches in our galaxy have not revealed nearly enough matter. So it is assumed that dark matter is something more exotic, such as novel theoretical particles.

Now, Pawel Pietrukowicz of Warsaw University in Poland and colleagues have spotted a tiny star in the globular cluster M22 acting as a lens for a background star. At just 0.18 times the sun's mass, it is the smallest star ever seen in a globular cluster. Because its effects on the larger star were seen after just 10 weeks of observations, the team says there are probably many more like it in the cluster, perhaps even enough to account for all the dark matter needed to hold the cluster together. The work will appear in The Astrophysical Journal Letters.

While exotic dark matter is still needed outside of globular clusters, knowing that it might not be needed in this one, and perhaps others like it, could give clues to the stuff's properties. Turn to page 30 for more on dark matter
